Annual Reports for Business and Nonprofit Entities are Due June 1
AUGUSTA ? Secretary of State Matthew Dunlap is reminding all business and nonprofit entities on file with the Secretary of State's Office that annual reports are due by June 1, 2015.
Annual reports can be filed quickly and easily using Maine's online filing system. Payment may be made by Visa, Mastercard, Discover, electronic check or subscriber account. The annual report fee is $85 for domestic business entities, $150 for foreign business entities and $35 for domestic or foreign nonprofit corporations.
As a convenience, if you filed online in a previous year, the information you provided at that time will automatically be available online for you to review, update and re-file. You will not need to re-enter unchanged information. For subscribers, there is functionality to assist you with managing multiple annual report filings. These include "Save for Later" and "View Filed Reports."
Another online service allows non-commercial clerks or non-commercial registered agents to change their addresses. Additionally, this service allows an authorized individual of a foreign entity (organized outside Maine) to change the principal or home office address. If you need to make these or other address changes separately from the online annual report filing, please use our Change of Address Online Service.
If you must file using a paper annual report, you may download your entity's preprinted paper form by using our Create a Preprinted Annual Report Form service.
The filing deadline is June 1, 2015; however, the Bureau of Corporations, Elections and Commissions encourages you to file your report by April 1, 2015, to avoid delays or inconveniences. The bureau is sending out official reminders via email today.
A late-filing penalty will be assessed on all reports received after June 1, 2015. Late-filing penalties are $50 for for-profit businesses and $25 for nonprofit corporations.
